# API SERVICE TERMS AND CONDITIONS

Welcome to the AVIS platform - a platform providing services that use artificial intelligence (“AI”) at <https://www.avis.xyz/>, its subdomains and any other AVIS website displaying a link to these Terms and Conditions of Service (collectively, the “Website”), operated by AVIS AI Joint Stock Company, enterprise code 0318832218, with its head office at No. 2 Truong Quoc Dung, Phu Nhuan Ward, Ho Chi Minh City, Vietnam (hereinafter referred to as “AVIS”, “We”). The Service provided by AVIS to you operates on the basis of integrating and using the technology infrastructure and artificial intelligence models of Developers (as defined below). Accordingly, AVIS acts as the party that develops and operates the interface and the application features and provides the application programming interface - the AVIS API aggregating large language models (as defined in these Terms and Conditions for the use of the API Service), while the generation of Output Content using artificial intelligence, inference models, output optimisation and the operation of the technical infrastructure serving the API Service are carried out in whole or in part by the systems and technology of the Developers.

Before accessing, registering an account or using any part of the API Service, you must read carefully and agree to the entire contents of these Terms and Conditions for the use of the API Service (the “API Terms”). Your clicking of the “I agree” button and/or continued use of the API Service means that you have read, understood and agreed to be legally bound by the API Terms, as well as all terms of use of the Developers as prescribed from time to time (hereinafter referred to as the “Developer Policies”). The list of Developers and the Developer Policies will be updated by AVIS from time to time in the Appendix attached to these Terms (the “Developer Appendix”). However, for the avoidance of doubt, the Developer Appendix may be incomplete and inaccurate, as AVIS cannot update the Developer Appendix in real time to reflect changes to the Developer Policies. Accordingly, the Developer Appendix serves as a reference list for you, and you are responsible for independently informing yourself of the Developer Policies before using any Service on the Website.

You and your End Users (if any) must be 18 years of age or older in order to be permitted to use the API Service. By accepting these Terms, you represent and warrant to us that: (a) you are 18 years of age or older; (b) you have not previously been suspended from or deprived of the right to use the Service; and (c) your registration for and use of the API Service complies with all applicable laws.

If you are under 18 years of age, you must have the consent of a parent or lawful guardian in order to use the API Service. If you use the API Service on behalf of an organisation or company, you represent and warrant that you have the authority to bind that organisation to these API Terms and you agree, on behalf of that organisation, to be bound by these API Terms.

If you do not agree with any content of these API Terms, please cease accessing the Website and using the API Service.

## ARTICLE 1. DEFINITIONS

1.1. “Third party” means any organisation or individual other than AVIS or you and your End Users, including but not limited to Developers, technology partners, payment providers, authentication providers and competent State authorities.

1.2. “API Platform” means a platform aggregating large language models that allows you, through the website [avis.xyz](http://avis.xyz), to access third-party application programming interfaces via AVIS (the “AVIS API”) in order to use the various AI Models referred to on the API Platform; AVIS has the right to add, adjust or remove the AI Models used for the API Service at any time.

1.3. “API Service” means the service by which AVIS provides and allows you to access and use the functions of the AI Models through the AVIS API by means of a unique access key (API Key) created by AVIS, in order to connect, link and integrate with your software, products and services. The API Service includes the provision of access to the AVIS API, technical documentation, an SDK (if any) and technical support (if any) provided by AVIS from time to time.

1.4. “Usage Quota” means the internal accounting unit (commonly called a Credit) used by AVIS to measure the level of use of the Service. The Usage Quota is not currency, has no cash conversion value and cannot be assigned, transferred or otherwise disposed of, unless AVIS provides otherwise.

1.5. “API Service Package” means the paid service package that you subscribe to in order to use the API Services on the Website for each billing cycle.

1.6. “AI Model” means machine learning models, large language models, generative models and related algorithms developed, licensed or integrated by AVIS from Developers in order to develop, operate and provide the API Service.

1.7. “Developer” means organisations that design, build, train, test or fine-tune all or part of a model, algorithm or artificial intelligence and that have direct control over the technical methods, training data or model parameters, and that are at the same time the providers of the underlying infrastructure and AI models for AVIS.

1.8. “End User” means an organisation or individual that uses your products or services and directly performs the act of entering Input Content in order to generate Output Content through the API Service. You may also simultaneously be an End User if you perform the act of entering Input Content to generate Output Content and/or do not provide products or services using the API Service to any other individual or organisation.

1.9. “Group of Companies” includes the Company and its affiliates, parent company, subsidiaries, partners, contractors and service providers related to AVIS.

1.10. “Output Content” means video, images and/or any digital content generated by an AI Model on the basis of the End User’s Input Content through the API Service and/or through your products or services that integrate the API Service.

1.11. “Input Content” means any data, text, images, video, audio, files and/or other data uploaded, entered or provided by the End User to the Website for the purpose of generating Output Content through the Service.

1.12. “Applicable law” means the laws of Vietnam and the laws of any other country or territory relevant to your and your End Users’ use of the API Service.

1.13. “Account” means the registered account you create on the Website in order to use the API Service.

1.14. “AVIS Assets” include:

1. Intellectual property rights: All copyright, related rights, trademarks, industrial designs, utility solutions, patents, trade secrets, trade names, logos, interfaces (UI/UX), designs, source code, algorithms, and the related instructional documents relating to AVIS’ API Platform and API Service, and other intellectual property rights owned by AVIS;
2. Technology infrastructure: The system operating the API Service, the manner of integrating and connecting the AI Models, the API Keys created by AVIS and the management tools belonging to the Group of Companies;
3. AI Models: The AI Models developed by AVIS itself, or the right to lawfully exploit and use the AI Models integrated from the Developers;
4. Usage Quota: The internal accounting units (credit/token) and the service packages configured on the system;
5. System data: The information and data aggregated or generated in the course of operating the API Platform (excluding End Users’ Input Content subject to confidentiality rules), and any other intellectual product created, licensed or lawfully owned by AVIS under the Applicable law; and
6. Other assets owned by, or lawfully used by, AVIS from time to time.

## ARTICLE 2. SCOPE OF APPLICATION AND ACCEPTANCE OF THE TERMS

2.1. These Terms of Use govern the legal relationship between AVIS and you and the End Users in respect of access to, registration for and use of the API Service.

2.2. These Terms of Use apply in addition to, and consistently with, the [General Transaction Terms and Conditions](/guide/terms-and-conditions/general-terms-and-conditions.md), the [Personal Data Protection Policy](/guide/terms-and-conditions/personal-data-protection-policy.md), the [Delivery Policy](/guide/terms-and-conditions/delivery-policy.md), the [Service Testing and Refund Policy](/guide/terms-and-conditions/service-testing-and-refund-policy.md) and other policies published by AVIS on the Website from time to time. In the event of a conflict between these documents, these Terms shall prevail, unless expressly provided otherwise.

2.3. You acknowledge that the use of the API Services depend on the technology and services provided by the Developers. Accordingly, the obligations that AVIS must comply with towards the Developers apply correspondingly to you and the End Users under the Developer Policies. You and the End Users undertake that (i) you have read, researched and clearly understood all provisions of the Developer Policies before using the Service on the Website, and (ii) you are personally responsible to the Developer if you breach the Developer Policies.

2.4. Where you access and use the API Service on behalf of an organisation, you represent and warrant that you have the legal authority to bind that organisation to the entire contents of the Terms. In that case, provisions relating to “you” shall be understood to apply to that organisation as well.

2.5. AVIS has the right to amend and supplement these Terms of Use from time to time. Your continued use of the Service after the effective date of an amendment is deemed to be your agreement to the amended version.

## ARTICLE 3. DESCRIPTION OF THE SERVICES

3.1. The API Platform is the aggregator that provides the API Service Packages allowing you and the End Users to generate Output Content from Input Content through AI Models provided by the Developers. The Service may include, but is not limited to: (a) text-to-video generation; (b) image-to-video generation; (c) editing and adjusting Output Content; and (d) storing, downloading and sharing Output Content within the permitted scope. The specific features of the Service may change, be upgraded, supplemented or removed from time to time at AVIS’ discretion.

3.2. Subject to your full compliance with the Terms and full payment of the applicable fees (if any), AVIS grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Service in accordance with the Terms and the Developer Policies.

3.3. The general API Service provision process comprises the following steps:

Step 1. Account registration: you create an account on the Website using an email address or a supported third-party account, and verify the email address/phone number as required by AVIS;

Step 2. Acceptance of the Terms: you read and confirm agreement to the Terms, the [Personal Data Protection Policy](/guide/terms-and-conditions/personal-data-protection-policy.md) and related policies;

Step 3. API Key creation: you access the “API Platform” feature to create an API Key and enter the necessary information in order to store and record the API Key;

Step 4. Package selection: you use the free features or trial (if any) or subscribe to a suitable paid API Service Package for each of your API Keys; and make payment using the [Payment Methods](/guide/terms-and-conditions/payment-methods.md);

Step 5. Use of the API Key: you are solely responsible for linking the API Key in order to use the API Service;

Step 6. Use of results: you are solely responsible for storing and managing the API Key and for exploiting your or your End Users’ Input Content and Output Content in accordance with these Terms and the Developer Policy;

Step 7. Support and complaints: you may contact us using the contact details stated in Article 16 of these Terms if you encounter any issue caused by an error of AVIS or the Website.

3.4. You acknowledge and agree that (i) AI technology is experimental in nature and under development; (ii) Output Content is generated automatically and may not be unique - different End Users may receive similar Output Content when using the API Service; (iii) Output Content may contain errors, inaccuracies, or content that is incorrect or inconsistent with the law and social morals, and you and the End Users must assess its suitability before using it for any purpose.

3.5. You are responsible for storing the API Key and the Account information yourself as soon as the system creates them. AVIS is not liable for any loss arising from your losing or disclosing the API Key or the Account information to a third party.

3.6 Territorial scope: The Service may only be used in countries and territories permitted by the Developers. AVIS has the right to restrict or refuse to provide the Service in regions outside that scope.

3.7. Compliance with watermarks and AI notices: all Output Content generated may contain watermarks, metadata or identifying marks applied by the Developers and/or AVIS to indicate that the content was generated by AI. You and the End Users may NOT delete, conceal, modify or falsify these watermarks, metadata or identifying marks on the Output Content.

3.8. AVIS has full discretion to amend, supplement or discontinue all or part of the API Service from time to time, with or without prior notice to you, particularly where a Developer so requires or where the law changes.

## ARTICLE 4. USER ACCOUNT

4.1. You must register an account with accurate, complete and up-to-date information (the “Account”). You are responsible for keeping the login information (username, password) and other authentication information of the Account confidential, and are responsible for all activities arising from your account, including in the event of unauthorized third-party access due to your failure to keep the login information secure. You undertake not to share, assign, lease or lend the Account in any form.

You are responsible for providing accurate and complete personal information as required by AVIS when registering and using the Account. By registering an Account and/or using the Service, you confirm that you have read and agreed to the AVIS [Personal Data Protection Policy](/guide/terms-and-conditions/personal-data-protection-policy.md).

4.2. You must notify AVIS immediately upon detecting or suspecting unauthorised access to the Account. AVIS is not responsible for damage arising from your failure to take the necessary measures to secure the Account.

4.3. Each email address may only be used to register one account, unless otherwise permitted by AVIS in writing.

4.4. AVIS has the right to suspend, restrict or terminate the Account, withdraw the Usage Quota and refuse to provide the Service in the following cases:

1. You or an End User breaches the Terms, the Developer Policies or other policies relating to the Services notified by AVIS as applicable from time to time;
2. You provide false, fraudulent or impersonating information, or use the Account for unlawful purposes;
3. There is a request from a competent State authority or a requirement under the law;
4. Payment fraud, use of unlawful payment instruments, or unfounded chargeback claims are detected;
5. The Account has been continuously inactive for a long period under AVIS Policies from time to time.

## ARTICLE 5. SUBSCRIPTION PACKAGES, SERVICE FEES, PAYMENT AND USAGE QUOTA

### 5.1. Pay-as-you-go mechanism

1. AVIS provides API Service Packages on a pay-as-you-go model. You will purchase Usage Quota (Credit) to top up the corresponding API Key before using the API Services.
2. The Credit consumption for each AI Model, task type and specific feature is publicly listed on the Website. You acknowledge that each Developer and each AI Model is different.
3. AVIS has the right to adjust the API Service Fees and the Usage Quota structure from time to time. Changes to Service Fees will be notified to you before they apply to the next API Service Package. If you do not agree with the new Service Fee level, you have the right not to pay for the new API Service Package and to cease using the API Services before the date on which the new API Service Fee takes effect.

### 5.2. Payment and Credit top-up

1. You agree to pay in full and on time the applicable fees for the API Service Package in order to top up the appropriate Credit levels. Payment is made through the methods accepted on the Website, described in detail in the [Payment Methods](/guide/terms-and-conditions/payment-methods.md).
2. Credit will be added to your Account immediately after the payment transaction is confirmed as successful. All payments made to purchase Credit are non-refundable, except where the Applicable law provides otherwise or under the AVIS [Exchange and Refund Policy](/guide/terms-and-conditions/service-testing-and-refund-policy.md).
3. Where a payment transaction is unsuccessful, AVIS has the right to suspend the provision of the API Services until payment is completed.

### 5.3. Maintaining a balance and suspension of the API Service

1. The API Service will be provided continuously as long as your Account has sufficient Credit balance to perform tasks. Where the Credit balance in the Account is 0 (zero) or is insufficient to perform a particular task, AVIS has the right to suspend your access to the API Services (including temporarily disabling the API Key) until you top up additional Credit.
2. You may enable the “Auto top-up” feature (if supported by the Website) to maintain continuity of the Service when the balance falls below the minimum level you set.

### 5.4. Usage Quota

1. Credit will have a term of use as prescribed by the API Service Package at the time of purchase. If no term is prescribed, the Credit topped up will remain valid until it is used up.
2. The Credit balance will be deducted in real time immediately after the system records the result from the AI Model through the API Services. Credit will not be converted into money and/or have any transferable or reimbursable value in any form, except as specifically provided in the [Exchange and Refund Policy](/guide/terms-and-conditions/service-testing-and-refund-policy.md).
3. You may monitor the usage of the API Service Package in the API Key information on the API Platform. The AVIS system is the sole and final basis for determining your Credit consumption.

## ARTICLE 6. API SERVICE TESTING AND REFUND POLICY

### 6.1. API Service testing policy:

As the API Service is a digital service provided automatically over the network environment, with no delivery of tangible goods, the provisions on “testing” are understood and applied in a manner consistent with the nature of a digital service, as follows:

1. Before confirming a paid transaction: you have the right to use the free trial features (if any) to assess whether the Service meets your needs;
2. After linking the API Key yourself: you have the right to develop your own software, applications and tools in compliance with the rules of AVIS and the Developers. If the Output Content contains a technical error from the AI Models (for example: the result cannot be displayed or cannot be downloaded), you may contact AVIS using the contact details in Article 16.
3. After the payment transaction is completed: you may look up the transaction details, the electronic invoice and the Usage Quota usage history under the “Account” section on the Website.

### 6.2. Refund policy:

1. Method of return: as the API Service is a digital service, no exchange/return of tangible goods arises. The “return” is effected in the form of a refund through the payment method originally used, or the re-grant of an equivalent Usage Quota at AVIS option, in the cases set out in the [Service Testing and Refund Policy](/guide/terms-and-conditions/service-testing-and-refund-policy.md);
2. Refund request deadline: you must submit a refund request within 07 (seven) days from the date the transaction occurred or the date the error was discovered (whichever is later), for cases eligible for a refund under the [Service Testing and Refund Policy](/guide/terms-and-conditions/service-testing-and-refund-policy.md);
3. Refund processing time: AVIS confirms receipt of the request within 03 (three) working days and responds with the outcome within 15 (fifteen) working days from the date complete information is received; the time for the refund actually to be received is from 07 (seven) to 21 (twenty-one) working days depending on the bank/payment gateway partner;
4. Cost of return: AVIS does not charge a processing fee for valid refund requests; however, transaction fees charged by the card-issuing bank, the e-wallet or the payment gateway (exchange rate differences, international transaction fees, currency conversion fees) fall outside the scope of AVIS’ refund;
5. The cases eligible and not eligible for a refund are listed in detail in the [Service Testing and Refund Policy](/guide/terms-and-conditions/service-testing-and-refund-policy.md), including but not limited to: duplicate transactions caused by a system error, and failure to activate the API Service after payment.

## ARTICLE 7. INTELLECTUAL PROPERTY RIGHTS

### 7.1. Ownership:

7.1.1 Intellectual property in the AVIS Assets: All intellectual property rights in the AVIS Assets and in every updated version, upgrade or derivative work of the aforementioned assets belong to AVIS or the respective licensor. You have no rights in the AVIS Assets other than the licence granted under Article 7.2 of this Article.

7.1.2 Intellectual property in the Input Content: To the extent permitted by law, intellectual property rights in the Input Content belong to you, your End Users or a third party holding lawful rights. You, while at the same time ensuring the same for your End Users, undertake and warrant that:

1. you are the lawful owner of, or have obtained all necessary rights, permissions and authorisations to use, the Input Content for the purposes of the API Service;
2. The use of the Input Content and the Output Content generated from it does not infringe the rights of any Third party, including intellectual property rights, personal rights (image rights, voice rights), privacy rights and reputation rights;
3. The End User has obtained the valid consent of the relevant organisation(s) or individual(s) where the Input Content contains (i) the image, voice or personal data of a real person; or (ii) the intellectual property of a third party.

You are fully responsible before the law and to third parties, and undertake to bear the same responsibility for the End Users, in respect of the Input Content and the use of the Output Content. Although the Developers and/or AVIS may deploy tools to moderate and screen Input Content and Output Content automatically on the Website, you and the End Users understand that AVIS and the Developers do not verify or take responsibility for the accuracy, legality or appropriateness of such content.

7.1.3 Ownership of the Output Content: To the extent permitted by law, AVIS does not claim ownership of Output Content validly generated by the End User through the API Service. You and the End Users are entitled to use the Output Content for personal or commercial purposes, provided that the API Service Fees have been paid in full and that the use of the Output Content complies with these Terms of Use, the Developer Policy and applicable law.

7.1.4 Restrictions on the Output Content, for which you are simultaneously responsible on behalf of your End Users:

1. The End User may not use the Output Content to infringe the rights of a Third party.
2. The End User may not use the Output Content, or any part of the API Service, to train, fine-tune, calibrate or build any other AI model or algorithm, including a model that competes directly or indirectly with AVIS or the Developers.
3. The End User understands that, due to the nature of generative AI, Output Content may be similar or identical, is not unique and may be generated for other End Users of the same API Service. AVIS does not warrant the exclusivity or uniqueness of the Output Content. The End User waives all claims against AVIS, the Developers and other End Users relating to the similarity of Output Content.
4. Under Vietnamese law and prevailing international law, AI-generated Output Content may not be protected by intellectual property rights or may be protected only to a limited extent. The End User is solely responsible for determining the protectability and lawful use of the Output Content.
5. Output Content may be marked, labelled or watermarked to indicate clearly that it is AI-generated content in accordance with the law. The End User may not remove or falsify these marks.

7.1.5 Grant of rights to AVIS and the Developers: In order to operate, provide, improve and secure the API Service, you, also on behalf of the End Users, grant AVIS and the Developers (including their Group of Companies and subcontractors) a non-exclusive, royalty-free, sublicensable, worldwide and irrevocable right to use the Input Content and the Output Content within the following scope:

1. To operate, maintain, improve, upgrade and secure the API Service, and to detect and prevent abuse of it;
2. To provide, process and generate Output Content for the End Users;
3. To comply with legal requirements and the requests of competent State authorities, and to resolve disputes.

7.1.6 You are, at the same time, responsible for your End Users in respect of public sharing:

1. Where the End User voluntarily shares Output Content publicly (posting it on social networks or content platforms, using it to build virtual characters, etc.), the End User represents that they hold all necessary rights relating to the content generated. All such sharing, publication or use is carried out by the User at their own responsibility and risk.
2. When publishing or publicly sharing Output Content, the End User represents and warrants that they hold all necessary rights, permissions and consents relating to that Input Content and Output Content, including intellectual property rights, personal rights, image rights, voice rights and privacy rights of all relevant individuals and/or organisations, and that such publication or sharing does not breach the law or the rights of any third party. You and the End Users are fully responsible for, and shall indemnify AVIS and the Developers against, all claims arising from such publication or sharing.

7.1.7 You are and will continue to be the sole owner of your Product, including the source code, interface, design, brand, customer database and all materials independently developed by the User (collectively, “Your Assets”).

7.1.8. AVIS does not claim ownership of the Output Content. The End User is entitled to use, copy, edit and commercially exploit the Output Content, subject to the Developer Policy and the law from time to time, and at the same time acknowledges that:

1. Similar or duplicate Output Content may be generated for other parties; and
2. AVIS does not warrant the exclusivity of, or the ability to register intellectual property protection for, the Output Content. AVIS is entitled to use anonymised and aggregated Output Content in order to improve the AI Models.

7.1.9. Nothing in this Contract shall be construed as a transfer of intellectual property rights from one Party to the other, unless expressly provided in this Contract or agreed in writing between the Parties.

### 7.2 License to use

7.2.1. License granted to you

Provided that you pay all Fees in full and comply with these Terms and Conditions for the use of the API Services, AVIS grants you, for the duration of your use of the API Service, a non-exclusive, non-reassignable right to:

1. integrate the AVIS API into your Product (if any);
2. allow End Users to access the features provided through the AVIS API, provided that such access is effected entirely through your Product, and End Users are not granted direct access to the AVIS API; and
3. use the technical documentation and the AVIS API provided by AVIS to the extent necessary to carry out the integration.

7.2.2. Restrictions on use

You undertake not to do, and not to permit any End User to do, any of the following:

1. copy, modify or create derivative works from the AVIS Assets, or reverse engineer, disassemble, decompile, decrypt or in any way attempt to extract the source code, model weights or training data of the AVIS API and/or the AI Models;
2. sell, sublicense, distribute or share the API key, or in any form provide direct access to the AVIS API to a third party;
3. use the AVIS API or the Output Content for the purposes of competitive analysis, developing competing products, or training AI models that compete with AVIS;
4. generate content that breaches the law, infringes the intellectual property rights of third parties, deepfake content intended to deceive or cause harm, or content contrary to social morals;
5. use the AVIS API in excess of the prescribed limits or technical specifications, or in a way that affects the stability and performance of the system; or
6. remove, alter or conceal any intellectual property notice on the AVIS Assets.

7.2.3. License granted to AVIS

You grant AVIS a perpetual, non-exclusive, irrevocable, royalty-free right to use Your Assets to the extent necessary to: (a) perform its obligations under the API Services; and (b) develop and improve the AVIS API and the AI Models, provided that your Confidential Information is not disclosed to third parties.

7.2.4. Notification obligation

Each Party is obliged to notify the other Party promptly upon detecting or reasonably suspecting any infringement of intellectual property rights relating to the other Party’s Assets. You undertake to cooperate with AVIS in handling third-party claims relating to Output Content generated through your Product.

## ARTICLE 8. PROHIBITED CONTENT AND RESPONSIBLE USE

8.1. You undertake, and at the same time ensure that End Users undertake, absolutely NOT to use the API Services to generate, post, store, distribute, share or interact with any Input Content or Output Content falling within the following prohibited categories:

1. Content that infringes the rights of any individual or organisation, including privacy rights, personal rights, image rights, voice rights and intellectual property rights;
2. Content that supports, incites, instructs or facilitates unlawful activities, including the manufacture of prohibited or controlled substances, products or services;
3. Content that harms children or persons under 18 in any form, including grooming, abuse, sexual exploitation and pornographic depictions involving children;
4. Content that impersonates, or substitutes the voice or image of, an individual (living or deceased) without lawful consent, or for the purpose of fraud, attack or humiliation;
5. Content used for fraud, deception, or the dissemination of false information, fake news or deepfakes that cause confusion about the identity of real persons or real products;
6. Content that incites violence, terrorism or extremism, that divides people by race, religion, ethnicity or gender, or that encourages self-harm;
7. Pornographic or obscene content, sexually explicit depictions, or 18+ content contrary to Vietnamese law;
8. Content that infringes national security, opposes the State of the Socialist Republic of Vietnam, or harms national sovereignty, national interests or national unity under the Law on Cybersecurity and related legal documents;
9. Content that collects, processes or infers sensitive personal data (gender, race, religion, specific age, health status, biometric data, etc.) of third parties without a legal basis;
10. Content used for weapons activities, autonomous defence, critical infrastructure, controlled stimulants, or activities that may cause serious injury or death;
11. Content intended to disseminate false information, distortions, slander, or to offend the dignity, honour or reputation of organisations or individuals;
12. Content involving fraud, deception or misappropriation of property; distribution of malware or spyware; cyber attacks;
13. Content that seeks to disable, circumvent or interfere with the safety filters, moderation mechanisms and security measures of the Website, the AI models, or the watermarking mechanisms deployed by the Developers and/or AVIS;
14. Content that exploits vulnerabilities, or discloses security vulnerabilities of the API Service to third parties or to the public without AVIS’ written consent;
15. Any other content prohibited under the Developer Policy and/or applicable law from time to time.
16. Other inappropriate content, as determined by AVIS and the Developers at their final and absolute discretion.
17. Responsible use requirements: The User agrees to: (a) carry out reasonable testing before using Output Content in a specific context; (b) apply an appropriate level of human oversight; (c) apply measures to avoid generating harmful Input Content and Output Content; (d) provide an appropriate notice to recipients of the Output Content that it was generated using AI; and (e) not use the API Service for purposes that breach specialised laws (AI, data, copyright, cybersecurity).
18. The User shall use the feature for uploading images and video of real persons only where the holder of the personal rights has given lawful consent; AVIS has the right to require the User to provide evidence of consent or to undergo additional verification from time to time.
19. AVIS uses automated mechanisms (including safety filters, violating-content detection tools and watermarks) deployed by the Developers and/or AVIS. The existence of these mechanisms does NOT constitute any warranty by AVIS or the Developers that all Output Content is lawful or appropriate. The User bears full responsibility for the use of the Output Content.

## ARTICLE 9. LIMITATION OF AVIS’ LIABILITY

### 9.1. Statement regarding the API Services

1. To the maximum extent permitted by law, the API Services are provided “as-is” and “as-available”. AVIS does not warrant that the API Services will be uninterrupted, error-free or absolutely secure; nor does it warrant that the Output Content will be accurate, complete, lawful, fit for a particular purpose, or non-infringing of the rights of Third parties.
2. You and the End Users understand that AI Models may produce Output Content that is inaccurate, incomplete, misleading, biased or inappropriate. AVIS does not warrant that the Output Content reflects the truth, the opinions of AVIS, or is suitable for the End User’s specific purpose of use.
3. Output Content is not a substitute for professional advice on medical, legal, financial, technical or other specialised matters. The End User is obliged to check and evaluate the Output Content themselves before using it.
4. To the maximum extent permitted by law, AVIS is not liable for any indirect, consequential, special or punitive damages, or for damages arising from loss of revenue, loss of data, loss of reputation or loss of business opportunity arising out of or in connection with the use of the API Services and/or the Output Content.
5. To the maximum extent permitted by law, AVIS’ total financial liability to you and your End Users, arising out of or in connection with the use of the API Services in the one (01) year preceding the time the claim arises, shall not exceed the total API Service Fees that you have actually paid to AVIS in the corresponding period.
6. AVIS is not liable for any Output Content generated in the course of the End User’s use of the API Service, including but not limited to the following cases: (a) the End User knows or ought to know that the Output Content is infringing in nature; (b) the End User disables, circumvents or fails to use the safety features provided; (c) the Output Content is modified by the End User or combined with products/services outside AVIS, giving rise to infringing consequences; (d) the End User uses Input Content over which they have no lawful rights, resulting in infringing Output Content; (e) the claim arises from the End User’s use of the Output Content in commercial activities that infringe trademark or related rights; or (f) the Output Content originates from Third-party content.

## ARTICLE 10. INDEMNIFICATION

10.1. You agree to defend, indemnify and hold harmless AVIS, its affiliates, officers, employees and agents, and the Group of Companies (including the Developers and the Developers’ related parties) from and against claims, lawsuits, demands, losses, damages and costs (including reasonable legal costs) arising out of or in connection with:

1. Your use or misuse of the API Services;
2. Your provision of incorrect, incomplete or untruthful personal or organisational information when using the Website and the API Services;
3. Breach of these Terms, AVIS Policies, the Developer Policies and/or applicable laws;
4. The Input Content and Output Content generated or used by the End Users - in particular where it infringes the intellectual property rights, personal rights or privacy rights of a Third party;
5. Your or the End Users’ interference with, disabling of or circumvention of the safety filters and moderation mechanisms;
6. The End Users’ uploading of Input Content containing the image or voice of a real person without valid consent;
7. Your products and services developed on the basis of the API Service and the Input Content, to the extent related to the End Users’ conduct.
8. In the event that a Developer and/or a third party brings a lawsuit or claim against AVIS arising from the conduct of your End Users, AVIS has the right (but not the obligation) to notify you, and you are obliged to cooperate fully and provide the evidence, information and documents necessary for AVIS to protect its interests.
9. The indemnity obligations of you and your End Users under this Article 10 are not subject to the limitation of liability in Article 9 and continue in effect even after you cease using the API Service/Website and/or AVIS ceases providing the API Services to you for any reason.

## ARTICLE 11. SECURITY AND PERSONAL DATA PROTECTION

11.1. The collection, processing, storage and protection of your personal data is carried out in accordance with the [Personal Data Protection Policy](/guide/terms-and-conditions/personal-data-protection-policy.md) published on the Website, which forms an integral part of these Terms.

11.2. By using the API Services, you confirm that you have read and agreed to the AVIS [Personal Data Protection Policy](/guide/terms-and-conditions/personal-data-protection-policy.md), and agree that AVIS may process your personal data, or the personal data of other persons validly provided by you, in accordance with that policy and Vietnamese laws.

11.3 You are also subject to the same responsibility in collecting, storing and processing the Personal Data of End Users in accordance with the prevailing laws, and must at the same time obtain and maintain the consent of End Users to the sharing of their personal data with AVIS and the Developers within the scope of performing the API Services as required by the End Users’ Input Content.

## ARTICLE 12. SUSPENSION AND TERMINATION

12.1. You may terminate the Account and cease using the API Service at any time by carrying out the account closure procedure on the Website or by sending a request to AVIS’ Customer Care Department using the details in Article 16.

12.2. AVIS has the right to suspend or terminate the API Services and your Account, with or without prior notice, in the following cases:

1. You or an End User breaches the Terms or related policies;
2. There are reasonable grounds to believe that you or an End User has engaged in fraud or abuse, or has harmed the API Service, other users or AVIS;
3. AVIS decides to discontinue part or all of the API Service for business reasons; or
4. At the request of a competent State authority or as required by law.
5. Where a Developer so requires, AVIS has the right to delete infringing content and/or replace or modify the API Service without your or the End Users’ consent. In the event that a Developer terminates or suspends the provision of services to AVIS, AVIS has the right to terminate the provision of the corresponding API Services to you.
6. When the Account is terminated, AVIS has the right (but not the obligation) to retain or delete the Input Content and Output Content of your Product and Your Assets.

## ARTICLE 13. COMPLAINTS AND DISPUTE RESOLUTION

13.1. All complaints and feedback from you relating to the API Service are received and handled through AVIS’ customer care channel at email: <hi@avis.xyz>; hotline: 028 9999 9898. AVIS will respond within a maximum of five (05) working days from the date a valid complaint is received.

13.2. The parties give priority to resolving disputes through good-faith negotiation and conciliation. If negotiation cannot be achieved within thirty (30) days from the date the dispute arises, either party has the right to initiate proceedings before a competent Court under Vietnamese law.

13.3. These Terms are governed by and construed in accordance with Vietnamese law.

## ARTICLE 14. FORCE MAJEURE

AVIS is not liable for any delay in, or failure to perform, its obligations due to force majeure events, including but not limited to natural disasters, fire, epidemics, strikes, war, riots, widespread power, telecommunications or internet network failures, incidents affecting Developers or Third parties, acts of State authorities, or events beyond AVIS’ reasonable control.

## ARTICLE 15. GENERAL PROVISIONS

15.1. These Terms constitute the entire agreement between you and AVIS regarding the use of the API Service, and supersede all prior agreements and communications on the same subject matter.

15.2. AVIS has the right to amend and supplement the Terms from time to time. The updated version will be published on the Website together with the “Last updated” date. Your continued use of the API Service after the updated version is published means that you have read, understood and agreed to the updated version.

15.3. Severability: If any provision of these Terms of Use is declared invalid or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect.

15.4. Assignment: you may not assign your rights and obligations under these Terms of Use without AVIS’ written consent. AVIS has the right to assign all or part of these Terms of Use to a third party without your consent, provided that this does not diminish your lawful interests.

15.5. No waiver: AVIS’ failure to enforce any right or provision shall not be deemed a waiver of that right.
